Purchase Terms and Conditions
GREEN STREET SOCIAL PURCHASE TERMS AND CONDITIONS
By completing a purchase of any cohort registration, event ticket, or other service from Green Street Social LLC ("Company," "we," or "us"), you agree to be bound by these Purchase Terms and Conditions ("Purchase Terms"). These Purchase Terms are in addition to Company's Terms of Service, available at www.greenstreetsocial.com/terms ("Terms of Service"), and Privacy Policy, available at www.greenstreetsocial.com/privacy-policy ("Privacy Policy"). By completing your purchase, whether through Company's website or any third-party platform, you acknowledge that you have read and agree to be bound by the Terms of Service and Privacy Policy, which are incorporated herein by reference and apply regardless of the purchase channel. In the event of any conflict between these Purchase Terms and the Terms of Service, these Purchase Terms shall control with respect to the purchase of services and participation in Company programs and events. In the event of any conflict between these Purchase Terms and the Privacy Policy with respect to the collection, use, or processing of personal information, the Privacy Policy shall control.
1. Fees and Payment
You may purchase cohort registrations, event tickets, or other services through Company's website or through third-party platforms such as Eventbrite. Company will facilitate the transaction through its designated payment processor (currently Stripe) to charge your specified credit card, debit card, or other payment method for the fees indicated during the purchasing process. Unless otherwise specified, all fees are in United States dollars, and all charges will be made in United States dollars.
Company and its partners reserve the right to refuse or terminate any payment at any time at their sole discretion. You understand and agree that if you authorize a payment transaction with your credit card, debit card, or other payment method, but your charge is rejected for any reason, there may be a hold on the fulfillment of your purchase until payment is received.
2. Foundations Cohort Registration
Each Foundations Cohort (www.greenstreetsocial.com/foundations) registration reserves one of a limited number of spaces in the cohort for the registrant and one (1) accompanying partner. Cohort registrations are sold as a single package covering all sessions in the series. By registering, you agree to the cancellation, refund, and transfer policies set forth in these Purchase Terms.
a. Cohort Cancellation and Refund Policy
Cancellations made more than forty-five (45) days before the first session are eligible for a refund minus a $50 administrative fee. Cancellations made between thirty (30) and forty-four (44) days before the first session are eligible for a 50% refund. Cancellations made within thirty (30) days of the first session are non-refundable.
If your baby arrives before or during the cohort, registration fees are non-refundable. In the event of extraordinary medical circumstances, Company may make exceptions at its sole discretion.
All cancellation requests must be submitted in writing to hello@greenstreetsocial.com.
b. Missed Cohort Sessions
We encourage participants to attend every session, as each one is an important part of the Foundations experience. If you will miss a session, please notify us as early as possible. We will make reasonable efforts to provide a live stream for in-person events or a recording for virtual events so you can participate remotely, but we do not guarantee availability of remote access. Missed sessions are not eligible for refunds or make-up classes.
c. Cohort Transfers
Participants may request one (1) transfer to a future cohort per registration. Transfer requests made more than thirty (30) days before the first session are complimentary. Transfer requests made fifteen (15) to twenty-nine (29) days before the first session are subject to a $150 transfer fee. Transfer requests made within fourteen (14) days of the first session will only be approved at our sole discretion.
d. Company Cancellation or Rescheduling
While we make every effort to deliver Foundations as scheduled, circumstances may occasionally require us to reschedule a session, substitute a facilitator, change a venue, or make other program adjustments. If a session must be rescheduled, we will provide as much notice as possible and work to find a new date that accommodates the cohort. If Company must cancel a session and is unable to reschedule it, Company may provide an alternative (such as a virtual session, one-on-one consultation, or recorded content). If Company cancels an entire Foundations cohort before it begins, participants will have the option to receive a full refund or transfer their registration to a future cohort at no additional cost.
3. No Medical Advice
Company programs and events, including the Foundations cohort, are educational and community-building in nature and are not a substitute for prenatal care, childbirth preparation with a qualified provider, postpartum medical treatment, or pediatric care. Nothing provided by Company, its facilitators, or guest speakers constitutes medical, psychological, nutritional, or other professional advice, whether relating to pregnancy, labor and delivery, postpartum recovery, newborn care, or otherwise. Any licensed professionals (including but not limited to physicians, nurses, lactation consultants, therapists, and physical therapists) who participate in Company programs or events do so in an educational capacity only; their participation does not create a provider-patient relationship with any participant. Program content is for general informational purposes only and is not tailored to your individual pregnancy, birth, or postpartum circumstances. You should not rely on any information provided during Company programs or events as a basis for medical decisions, and you assume full responsibility for any decisions you make regarding your health or the health of any minor in your care. If you have questions or concerns about a medical condition, you should consult a qualified healthcare provider.
4. Ad Hoc Events
Tickets for ad hoc events are non-refundable. If Company cancels an event, attendees will receive a full refund. If Company reschedules an event, tickets will automatically transfer to the new date; attendees who cannot attend the rescheduled date may request a refund by contacting hello@greenstreetsocial.com.
5. Assumption of Risk
Company programs and events may involve physical activities, movement, crafts, food, and other activities that carry inherent risks, including but not limited to physical injury, exposure to allergens, and illness. By purchasing a registration or ticket, you acknowledge and voluntarily assume all risks associated with your participation in Company programs and events, whether or not specifically described herein, and whether arising from the negligence of Company or otherwise.
6. Parental Supervision
For events where children are present, a parent or legal guardian must accompany and supervise each child at all times. Company does not provide childcare or supervision of children at any time. You are solely responsible for the safety and conduct of any minor in your care during Company programs and events.
7. Waiver and Release of Liability
To the fullest extent permitted by California law, you, on behalf of yourself, your heirs, assigns, personal representatives, and estate, hereby release, waive, and discharge Company, its members, managers, officers, employees, agents, contractors, facilitators, volunteers, and venue hosts (collectively, "Released Parties") from any and all claims, demands, causes of action, damages, losses, or liabilities of any kind, whether known or unknown, arising out of or relating to your participation in Company programs and events, including claims arising from the negligence of any Released Party. This release does not apply to claims arising from the gross negligence, willful misconduct, or fraud of a Released Party, or to any liability that cannot be waived under California law.
8. Waiver of Unknown Claims
You expressly waive any rights you may have under California Civil Code Section 1542, which provides:
"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
You understand that you are giving up the right to assert any claim you do not currently know about or suspect to exist in connection with your participation in Company programs and events.
9. Indemnification
You agree to indemnify and hold harmless the Released Parties from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your participation in Company programs and events, (b) your breach of these Purchase Terms, or (c) any act or omission by you or any minor in your care during Company programs and events, except to the extent such claims arise from the gross negligence, willful misconduct, or fraud of a Released Party.
10. Photography and Media Release
By completing a purchase, you consent to being photographed, filmed, and recorded by Company or its designees during Company programs and events. You grant Company a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, distribute, display, and create derivative works from any photographs, video, audio, or other recordings of your likeness taken at Company programs and events, in any media now known or later developed, including but not limited to Company's website, social media accounts, email communications, and paid advertisements. You waive any right to inspect or approve the use of such materials and release Company from any claims arising from such use.
If you do not wish to be photographed or recorded, you must notify Company in writing at hello@greenstreetsocial.com prior to the start of the program or event.
11. Minor Photo and Media Consent
If you are registering for or attending an event with a minor in your care, you represent that you are the parent or legal guardian of such minor and you consent to Company photographing, filming, and recording your child during Company programs and events. You grant Company the same license described in Section 13 above with respect to your child's likeness. You represent and warrant that no other consent is required for Company to use such materials.
You may revoke this consent for future use by notifying Company in writing at hello@greenstreetsocial.com. Any revocation will apply only to future uses; Company may continue to use materials already published, distributed, or incorporated into existing materials prior to the date of revocation.
12. Medical Acknowledgment
You confirm that you are physically able to participate in Company programs and events and are not aware of any medical condition that would prevent your safe participation. You agree to disclose to Company, prior to the start of any program or event, any known allergies, medical conditions, or dietary restrictions affecting you or any minor in your care that may be relevant to your participation or the safety of others. If you are pregnant, you confirm that you have consulted with your healthcare provider regarding your participation. You authorize Company to seek emergency medical treatment on your behalf (or on behalf of any minor in your care) in the event of an emergency, and you agree to bear all costs of any such treatment.
13. Participant Conduct and Safety
You agree to treat all participants, facilitators, staff, and venue hosts with respect and courtesy. Harassment, discrimination, intimidation, disruptive behavior, and any conduct that creates a hostile or unwelcoming environment for other participants are prohibited. You agree to follow all safety instructions and guidelines provided by Company, its facilitators, and venue hosts. Company reserves the right to remove any participant whose conduct violates these standards or poses a risk to the safety or well-being of others, without refund.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY CALIFORNIA LAW, COMPANY'S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE PURCHASE TERMS OR YOUR PARTICIPATION IN COMPANY PROGRAMS AND EVENTS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU FOR THE APPLICABLE REGISTRATION OR TICKET. THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE. IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE PURCHASE TERMS OR YOUR PARTICIPATION IN COMPANY PROGRAMS AND EVENTS. NOTHING IN THESE PURCHASE TERMS SHALL LIMIT OR EXCLUDE ANY REMEDY THAT CANNOT BE WAIVED UNDER THE CALIFORNIA CONSUMER LEGAL REMEDIES ACT (CIVIL CODE § 1750 ET SEQ.) OR OTHER APPLICABLE LAW.
15. Intellectual Property and Content Ownership
All materials, content, curricula, handouts, recordings, and other intellectual property provided or made available by Company during its programs and events ("Program Materials") are the exclusive property of Company and are protected by applicable copyright and intellectual property laws. You may use Program Materials for your own personal, non-commercial purposes only. You may not reproduce, distribute, share, modify, create derivative works from, publicly display, or otherwise make available any Program Materials to any third party without Company's prior written consent.
16. Assignment
Cohort registrations and event tickets are personal to the purchaser and may not be assigned, transferred, or sold to any third party without Company's prior written consent, except that a cohort registrant may assign their registration to another individual one (1) time by providing written notice to Company at hello@greenstreetsocial.com prior to the first session of the applicable cohort. Any attempted assignment in violation of this provision shall be void.
17. Modification
Company reserves the right to update or modify these Purchase Terms at any time by posting revised terms on Company's website. For material changes, Company will use reasonable efforts to provide notice by email at least thirty (30) days before such changes take effect. Any changes will apply to purchases made after the date the revised terms are posted (or, for material changes for which email notice is provided, after the expiration of the thirty-day notice period). Your continued participation in Company programs and events after any modification constitutes your acceptance of the revised Purchase Terms.
18. Entire Agreement
These Purchase Terms, together with the Terms of Service and Privacy Policy incorporated herein, constitute the entire agreement between you and Company with respect to the purchase of services and participation in Company programs and events, and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
19. Governing Law and Disputes
These Purchase Terms shall be governed by the laws of the State of California. Any dispute arising under these Purchase Terms shall be resolved in accordance with the dispute resolution and arbitration provisions set forth in Company's Terms of Service.
20. Severability
If any provision of these Purchase Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
21. Acknowledgment
BY COMPLETING YOUR PURCHASE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE PURCHASE TERMS IN THEIR ENTIRETY, UNDERSTAND THEIR CONTENTS, AND AGREE TO BE BOUND BY THEM. YOU FURTHER ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO COMPANY'S TERMS OF SERVICE AND PRIVACY POLICY, WHICH ARE INCORPORATED INTO THESE PURCHASE TERMS BY REFERENCE. YOU UNDERSTAND THAT THESE PURCHASE TERMS INCLUDE A WAIVER AND RELEASE OF LIABILITY, AN ASSUMPTION OF RISK, AN INDEMNIFICATION OBLIGATION, A LIMITATION OF LIABILITY, A PHOTOGRAPHY AND MEDIA RELEASE, AND A WAIVER OF CLAIMS UNDER CALIFORNIA CIVIL CODE SECTION 1542. YOU ARE GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE THE RELEASED PARTIES FOR INJURIES RESULTING FROM THE ORDINARY NEGLIGENCE OF ANY RELEASED PARTY.
